Welcome to Thelo AI (the App), an AI-powered fitness mobile application provided by One Labs LLC . By downloading, accessing, or using our App, you agree to comply with and be bound by the following terms and conditions of use (Terms). Please review these Terms carefully. If you do not agree to these Terms, you should not use this App.

This Terms and Conditions agreement ("the Agreement") specifies the terms for access to and use of Thelo AI, published by One Labs LLC ("the Company"). This Agreement may be modified at any time by the Company upon posting of the modified Agreement within the App or on our website. Any such modifications shall be effective immediately. You can view the most recent version of these terms at any time within the App or on our website. Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement.

Your privacy is important to us. Your use of this App, including the submission of personal details and images, is also governed by our Privacy Policy. Please review our Privacy Policy at [Your Companys Privacy Policy URL]. Our Privacy Policy is incorporated by reference into this Agreement and explains how we collect, use, and protect your personal information and content. One Labs LLC implements reasonable security measures, including encryption technologies where appropriate (e.g., for data in transit and at rest), to protect your personal information and uploaded images. However, you acknowledge that no method of transmission over the Internet or method of electronic storage is 100% secure, and we cannot guarantee absolute security.

To use many features of Thelo AI, you will need to create an account. You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. One Labs LLC reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, not current, or incomplete.

Thelo AI allows you to upload content, including but not limited to images, text, and personal fitness data (User Content). You retain all ownership rights to your User Content. However, by submitting User Content to Thelo AI, you grant One Labs LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with providing and improving Thelo AIs services and features (e.g., for AI analysis, personalized feedback, and app functionality). You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant to One Labs LLC the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content, nor your submission, uploading, publishing, or otherwise making available of such User Content, nor One Labs LLCs use of the User Content as permitted herein will infringe, misappropriate or violate a third partys patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. You agree not to upload any User Content that is unlawful, harmful, defamatory, obscene, infringing, harassing, or otherwise objectionable. We reserve the right to remove any User Content that violates these Terms or is otherwise deemed inappropriate, in our sole discretion.

Thelo AI provides fitness and wellness information and AI-driven guidance designed for educational and informational purposes only. THE APP DOES NOT PROVIDE MEDICAL ADVICE. You acknowledge and agree that:

• You should consult with your physician or other qualified healthcare provider before starting any new fitness program, changing your diet, or if you have any concerns about your health. Do not disregard, avoid, or delay obtaining medical or health-related advice from your healthcare professional because of something you may have read or seen on the App.
• Any information or guidance provided by Thelo AI, including through its AI features, is not a substitute for professional medical advice, diagnosis, or treatment.
• Physical activity involves inherent risks of injury. You voluntarily assume all known and unknown risks associated with your use of Thelo AI and any fitness activities you undertake.
• One Labs LLC is not responsible or liable for any injuries or health problems you may experience or sustain as a result of your use of, or inability to use, Thelo AI or any information or guidance provided by the App. Results from using Thelo AI may vary and are not guaranteed.

The use of any information provided on this App is solely at your own risk.

Thelo AI utilizes artificial intelligence to provide personalized fitness insights and guidance. You acknowledge that AI outputs are based on the data you provide and patterns learned by the system. While we strive for accuracy, AI-generated information may not always be perfect, complete, or suitable for every individuals unique circumstances. You should use your judgment and, as stated above, consult with qualified professionals when making decisions about your health and fitness.

Excluding User Content, all content included in this App, such as text, graphics, logos, images, as well as the compilation thereof, and any software used in the App, is and shall remain the property of One Labs LLC or its suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use, or publication by you of any such content or any part of the App is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any App content (other than your User Content) by or through your use of this App.

The names "Thelo AI," "One Labs LLC," its logos, domain names, service marks, and other distinctive brand features are trademarks of One Labs LLC. Other product, service, or company names mentioned in this App may be trademarks of their respective owners.

One Labs LLC grants you a limited, revocable, nonexclusive, non-transferable license to use this App solely for your own personal, non-commercial use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy materials on the App (other than your User Content), reverse engineer or break into the App, or use materials, products, or services in violation of any law. The use of this App is at the discretion of One Labs LLC, and One Labs LLC may terminate your use of this App at any time without notice.

The App may contain links to other websites or services not owned or controlled by One Labs LLC (Third-Party Sites). These links are provided for your convenience only and do not constitute an endorsement by One Labs LLC of the content, policies, or practices of such Third-Party Sites. You agree that One Labs LLC is not responsible for the content, accuracy, legality, or any other aspect of these Third-Party Sites. One Labs LLC may receive compensation for clicks or purchases made through these links.

You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of our App and your User Content. You further agree not to upload, post, or otherwise transmit any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of anothers privacy, hateful, or racially, ethnically, or otherwise objectionable, or that infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any party.

You agree to indemnify, defend, and hold harmless One Labs LLC, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the App from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you, your submission of User Content, or any other person accessing the App using your account.

THE APP AND ALL CONTENT (INCLUDING USER CONTENT AND APP CONTENT) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ONE LABS LLC MAKES NO WARRANTY THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE INFORMATION OR GUIDANCE PROVIDED WILL BE ACCURATE OR RELIABLE, OR THAT THE APP OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM ONE LABS LLC OR THROUGH THE APP SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

UNDER NO CIRCUMSTANCES WILL ONE LABS LLC OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, PERSONAL INJURY, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF, OR INABILITY TO USE, THE APP, OR ANY RELIANCE PLACED ON THE INFORMATION OR GUIDANCE PROVIDED BY THE APP (INCLUDING ITS AI FEATURES), EVEN IF ONE LABS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE APP IS TO STOP USING THE APP. IN NO EVENT SHALL THE TOTAL LIABILITY OF ONE LABS LLC TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU.

One Labs LLC reserves the right, and you authorize us, to the use and assignment of all information regarding your use of the App and all information provided by you (including User Content) in any manner consistent with our Privacy Policy and the licenses granted herein.

If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
• A description of the copyrighted work or other intellectual property that you claim has been infringed;
• A description of where the material that you claim is infringing is located on the App (please be as specific as possible);
• Your address, telephone number, and e-mail address;
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

This Agreement and your use of the App shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to or use of the App or this Agreement shall be instituted in a state or federal court in Delaware. You and One Labs LLC agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.

If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

The failure of One Labs LLC to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by One Labs LLC must be in writing and signed by an authorized representative of One Labs LLC.

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and One Labs LLC and governs the terms and conditions of your use of the App, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and One Labs LLC with respect to this App.

Effective Date: May 28, 2025
